Terms & Conditions of Engagement

1. Legal Structure & Master Service Scope

These Master Terms & Conditions regulate all professional service agreements, technological infrastructure deployments, and consulting frameworks executed under the commercial brand Jordan Host, legally owned and operated by "المستضيف الأردني لخدمات التكنولوجيا والإنترنت" (The Jordanian Host for Technology and Internet Services).

By engaging our enterprise services, submitting Request for Proposals (RFPs), or subscribing to managed cloud contracts, corporate entities, public institutions, and international organizations agree to comply with the operational protocols outlined herein.

2. Managed Cloud Services & Service Level Agreements (SLA)

For clients enrolled in our Managed Cloud, Dedicated Infrastructure, and Systems Administration contracts:

• Service Availability & Uptime: Technical maintenance routines and infrastructure uptime guarantees are governed by specific project Service Level Agreements (SLAs). Scheduled maintenance windows are communicated in advance.
• Infrastructure Telemetry & Security: Systems are continuously audited to prevent security intrusions. Clients maintain full ownership of their proprietary application logic, while we guarantee infrastructure-level stability and maintenance.
• Emergency Incident Response: Level-3 engineering response times and priority routing are maintained 24/7/365 for core enterprise workloads under active SLA agreements.

3. Procurement Governance, RFPs & International Grants

• Compliance & Transparency: All proposals, technical architectures, and financial budgets strictly align with international public procurement standards and donor compliance frameworks.
• Anti-Corruption & Integrity: We strictly adhere to zero-tolerance policies regarding bribery, fraud, or anti-competitive behavior in both private enterprise tenders and public-sector bidding.
• Contractual Binding: Proposal submissions and tender responses remain valid for the period specified in official bidding documents, subject to formal contract execution.

4. Institutional ESG, Gender Equity & Green Operations

We mandate Environmental, Social, and Governance (ESG) excellence across our operational footprint and project executions:

• Ethical Technology Deployment: Artificial Intelligence systems and software workflows designed by our teams adhere to international human rights, data ethics, and unbiased algorithmic standards.

5. Intellectual Property & Code Ownership

Ownership of technical deliverables, software code, and strategic frameworks depends on contract scope:

• Custom Enterprise Solutions: Full ownership of custom-developed software components, source code, and bespoke designs is transferred to the client upon final contractual settlement, unless specified otherwise in specific Statement of Work (SOW) documents.
• Proprietary Frameworks & Modules: Core pre-existing code modules, proprietary infrastructure scripts, and cloud management tools utilized by المستضيف الأردني لخدمات التكنولوجيا والإنترنت (The Jordanian Host for Technology and Internet Services) remain our exclusive intellectual property, licensed non-exclusively to the client for operational use.

6. Non-Disclosure & Corporate Confidentiality

Both parties agree to protect all technical, financial, and strategic information exchanged during consulting or execution phases under strict mutual Non-Disclosure obligations:

Confidential information will not be disclosed to any third party without prior written consent, except where required by law or official regulatory bodies overseeing donor-funded grants.

7. Financial Terms, Milestones & Remittance

Payment terms for enterprise contracts, managed service subscriptions, and consulting projects follow the formal milestone schedule agreed upon within executed Statements of Work (SOW):

• Invoices are issued according to project milestones or monthly recurring subscription cycles.
• Taxes, customs, and official fees are applied strictly in accordance with applicable corporate tax laws and international tax exemption protocols for donor-funded projects.

8. Limitation of Liability & Warranties

Services are delivered using industry-leading engineering standards. Except in cases of willful misconduct, the maximum aggregate liability of المستضيف الأردني لخدمات التكنولوجيا والإنترنت (The Jordanian Host for Technology and Internet Services) shall not exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim.

9. Jurisdiction & Dispute Resolution

These terms are governed by and construed in accordance with applicable laws in the Hashemite Kingdom of Jordan. Any dispute arising out of or in connection with these terms shall first be addressed through good-faith executive negotiation prior to formal arbitration or legal proceedings.
